Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you and Athena Collective Network Incorporated, a company incorporated and existing under the laws of the Province of British Columbia, having its registered office at 1600 – 925 West Georgia Street, Vancouver, British Columbia V6C 3L2, Canada (“Athena Collective”, “Athena”, “we”, “us”), concerning your access to and use of the Athena Collective website, platform, member community and related services (together, the “Services”).

You agree that by accessing the Services, you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these Terms of Service, then you are expressly prohibited from using the Services and you must discontinue use immediately.

Our Privacy Policy is incorporated into these Terms by reference and explains how we collect and use your information.

Eligibility and Your Account

To use the Services you must be at least the age of majority in the jurisdiction where you reside and have the legal capacity to enter into this agreement. Accounts are created and authenticated through our identity provider, and you are responsible for keeping your login credentials secure.

  • All registration information you submit will be true, accurate, current, and complete, and you will keep it up to date.
  • Your membership is personal to you. You may not share, transfer, resell or provide access to your account to anyone else.
  • You are responsible for all activity that occurs under your account.
  • You will not access the Services through automated or non-human means, whether through a bot, script or otherwise, or scrape, harvest or copy member data.
  • You will not use the Services for any illegal or unauthorized purpose.

Membership, Billing and Renewal

Athena membership is offered as a paid subscription. Unless stated otherwise at checkout, membership is available on a monthly or annual plan, and all prices are quoted and charged in US dollars. Your card issuer may apply its own currency conversion or foreign transaction fees, which are not controlled by us.

Payments are processed by our payment processor, Stripe. By subscribing, you authorize us and Stripe to charge your payment method for the plan you selected, including applicable taxes, on a recurring basis.

Automatic renewal

Subscriptions renew automatically. At the end of each billing period, your subscription renews for another period of the same length and your payment method is charged the then-current price, unless you cancel before the renewal date. Monthly plans renew every month and annual plans renew every year.

Free trials and promotional offers

We sometimes offer free trial periods, including through partner and campaign offers. The length of the trial is shown on the offer page you sign up through. A valid payment method is required to start a trial, and no charge is made during the trial period.

When the trial ends, your membership continues automatically and your payment method is charged for the plan you selected at signup, unless you cancel before the trial ends. We will send you a reminder by email before your trial converts. Trials, promotional pricing, referral credits and discount codes are limited to one per person unless we say otherwise, and may not be combined.

Cancellation

You can cancel at any time from your account settings, which will take you to our billing portal. When you cancel, your membership remains active for the rest of the billing period you have already paid for, and then ends. You will not be charged again after you cancel.

Refunds

30-day satisfaction guarantee. If Athena is not working for you, email us at hello@athenacollective.co within 30 days of your first membership payment and we will refund that payment in full and end your membership. This guarantee applies once per member, to your first paid membership term on either plan. It does not apply to renewals, to business listing or vendor subscriptions, or to any payment made more than 30 days before you contact us. If you started on a free trial, the 30 days run from your first charge, not from the day you signed up.

Monthly subscriptions may be cancelled at any time and will stop renewing at the end of the current month. Outside the 30-day guarantee, cancelling a monthly subscription does not create a refund for the month already in progress.

Subject to the 30-day guarantee above, annual subscriptions are paid commitments and are non-refundable after the subscription term begins, including after automatic renewal. Cancelling an annual subscription prevents future renewal but does not create a refund or credit for the current term. We may make exceptions for duplicate or unauthorized charges, billing errors, legally required refunds, or material service failures.

Failed payments

If a payment fails, we may retry the charge and your access to member features may be suspended until payment is successfully collected. If payment cannot be collected, your subscription may be cancelled. Keeping your payment details current is your responsibility.

Price changes

We may change our subscription prices. If we do, the new price will apply to your next renewal and not to a term you have already paid for, and we will give you notice by email before it takes effect. If you do not agree to a new price, you can cancel before your renewal date.

Business Listings and Vendor Subscriptions

We also offer paid annual business listings and vendor directory subscriptions. These are sold on an annual basis, renew automatically, and are subject to the same annual billing and refund terms set out above: they are non-refundable once the term begins, and cancelling stops future renewal without creating a refund or credit for the current term.

Listings are subject to our review and approval. We may decline, edit, unpublish or remove a listing that is inaccurate, misleading, incomplete, or inconsistent with the standards and values of our community. You are responsible for the accuracy of everything in your listing, including any claims, pricing and credentials, and you must have the right to use any logos, images and trademarks you upload.

Community Participation

Membership includes access to our member community, including a member directory, direct messaging, connection requests, and a community workspace hosted on Slack. The community only works if members treat it as a place of good faith, so by participating you agree that you will not:

  • Harass, demean, threaten or discriminate against another member.
  • Share or repost another member's private messages, personal information or business information outside the community without their permission.
  • Use the directory, messaging or community channels to send unsolicited bulk sales pitches, spam or recruitment blasts.
  • Export, scrape or compile member lists, or use member information for any purpose other than genuinely connecting with that member.
  • Post content that is unlawful, infringing, deceptive, or that you do not have the right to share.
  • Misrepresent your identity, business, credentials or affiliation.

Our community workspace is provided through Slack, and your use of it is also subject to Slack's own terms. Additional community guidelines may be published in the platform, and they form part of these Terms when they apply to you.

Members share opinions, advice and referrals with each other. That content belongs to the member who shared it and is not advice from Athena, and we do not verify or endorse it.

Your Content

You keep ownership of the content you submit to the Services, including your profile, business listing, messages, reflections, uploads and any events, resources or perks you submit. By submitting content, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display and distribute that content for the purpose of operating and promoting the Services.

Some content is visible to other members by design. Your profile appears in the member directory to other paying members, and you can adjust certain visibility settings in your account. Anything you mark as public, or post in a shared community channel, should be treated as visible to other members. Please do not submit confidential information you are not free to share.

We may remove or restrict content that breaches these Terms, and we may moderate or decline member-submitted content at our discretion. We are not obligated to monitor content, but we may do so.

Assessments, Roadmaps and Recommendations

The Services include assessments, scores, skill and business profiles, personalized roadmaps, member matches and other recommendations. These are generated from information you provide, are for general informational and educational purposes only, and are not professional advice.

Nothing in the Services is legal, accounting, tax, financial, lending, investment, medical or employment advice, and no assessment result, score or roadmap is a guarantee of any business outcome, revenue, funding, or result. You are solely responsible for decisions you make about your business. We recommend you consult a qualified professional before acting on anything you find in the Services.

We may improve and change our assessments, scoring and recommendation methods over time, which means your results may change.

Partners, Perks and Third-Party Offers

We surface partner offers, member perks, discount codes, sponsor and vendor listings, and introductions to third-party providers, which may include financing and other commercial services. These are offered by third parties, not by Athena.

Any product, service, discount or financing you obtain from a third party is a contract between you and that third party, on their terms and subject to their eligibility criteria, pricing and privacy practices. We do not provide financing or lending, and we are not a party to those arrangements. Perks and partner offers can change, run out or be withdrawn, and availability is not guaranteed as part of your membership. If you choose to enquire about or apply for a third-party offer, relevant information you provide may be shared with that provider so they can respond to you.

We may earn compensation or referral fees in connection with some partner listings and offers.

Events and Recordings

We host virtual and in-person events, workshops and office hours. Registration may be required and capacity may be limited. Events may be rescheduled, changed or cancelled.

Some sessions are recorded and made available to members afterwards. If you attend, speak, appear on camera or ask a question in a recorded session, you consent to being recorded and to that recording being shared with members. If you would prefer not to be recorded, you can attend without your camera and microphone on, or let us know in advance. Recordings and event materials are for your own use and may not be redistributed or published outside the Services.

Intellectual Property Rights

Unless otherwise indicated, the Services are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, assessments, frameworks and content on the Services, and the trademarks, service marks, and logos contained therein, are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights.

While your membership is active, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services and to use member content, resources, templates and prompts for your own business purposes. You may not copy, resell, sublicense, republish or redistribute the Services or member-only content, or use them to build a competing product or community.

Submissions

You acknowledge and agree that any questions, comments, suggestions, ideas or feedback regarding the Services provided by you to us are non-confidential and that we are free to use them without restriction, acknowledgment or compensation to you. This does not apply to your own content, your business information, or your assessment responses, which are covered by the sections above and by our Privacy Policy.

Site Management

We reserve the right, but not the obligation, to:

  • Monitor the Services for violations of these Terms of Service.
  • Take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms of Service.
  • Refuse, restrict access to, limit the availability of, or disable any of your contributions or any portion thereof.
  • Remove from the Services or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems.
  • Change, suspend or discontinue any part of the Services, and manage the Services in a way that protects our rights and property and supports their proper functioning.

Suspension and Termination

You may stop using the Services at any time and cancel your subscription as described above. If you would like your account and personal data deleted, contact us at hello@athenacollective.co.

We may suspend or terminate your account and access to the Services, with or without notice, if you breach these Terms, if your conduct harms other members or the community, if payment cannot be collected, or if we are required to do so by law. If we terminate your account for breach of these Terms, fees already paid are not refunded except where required by law.

If your membership ends, you will lose access to member-only features, including the directory, messaging and member content. We may retain your account information, assessment results and roadmap so that you can resume where you left off if you return, subject to our Privacy Policy and any deletion request you make. Content you shared in the community, and information already shared with other members or partners, may remain with them.

Disclaimers

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that the Services will be uninterrupted, secure or error-free, that any content or recommendation is accurate or complete, or that using the Services will produce any particular business result. We do not verify the credentials, claims, conduct or offerings of members, vendors, sponsors or partners, and we are not responsible for their acts or omissions, or for any dealings you have with them. Nothing in this section limits any rights you have under consumer protection laws that cannot be waived.

Limitation of Liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any lost profits, lost revenue, lost business opportunities, lost goodwill or lost data, arising from or relating to your use of the Services, even if we have been advised of the possibility of those damages.

To the fullest extent permitted by law, our total liability to you for all claims relating to the Services is limited to the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred US dollars. Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you.

Indemnification

You agree to indemnify and hold harmless Athena Collective Network Incorporated and its founders, directors, officers, employees, contractors and agents from any claims, damages, losses, liabilities and expenses, including reasonable legal fees, arising from your use of the Services, your content, your business listing, your dealings with other members or third parties, or your breach of these Terms.

Governing Law and Disputes

These Terms are governed by the laws of the Province of British Columbia and the applicable laws of Canada, without regard to conflict of law principles. You and we agree to the exclusive jurisdiction of the courts located in Vancouver, British Columbia, except where the mandatory consumer protection laws of your place of residence give you the right to bring a claim elsewhere.

Before starting a formal proceeding, we ask that you contact us at hello@athenacollective.co so we can try to resolve the issue with you directly.

Changes to These Terms

We may update these Terms from time to time. When we do, we will change the “Last Updated” date above, and if the changes are material we will give you reasonable notice, such as by email or an in-platform notice. Changes are not retroactive. If you continue to use the Services after the changes take effect, you accept the updated Terms. If you do not agree, you should cancel your subscription and stop using the Services.

General

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent, and we may assign them in connection with a merger, acquisition or sale of assets. These Terms, together with our Privacy Policy and any terms presented at checkout, are the entire agreement between you and us regarding the Services.
